Introduction

Scope. The scope of these Terms of Service covers content generated while using Mi4’s RigReports (the “Service”)

Audience. These Terms of Service apply to all users of the Service.

Acceptance. By logging into the Service you agree to these Terms of Service.

Privacy Policy. The use of the Service is subject to the Mi4 Privacy Policy, which is incorporated by reference and forms part of these Terms of Service.

Modification of Terms of Service. Mi4 may, in its sole discretion, modify these Terms of Service at any time. Any modifications will be effective upon them being posted to the Service. Your continued use of the Service following the posting of the modifications constitutes acceptance of such modifications. You should periodically review the most up-to-date version of these Terms of Service.

Service License. We own and reserve all right, title, intellectual property and interest in and to the RigReports Service. We grant you a limited, revocable, non-exclusive, non-sublicensable, non-transferrable license to do the following during the Term: (i) access and use the Service solely in accordance with this Agreement; and (ii) copy and use the Mi4 Content solely in connection with your permitted use of the Service. Except as provided in this section, you obtain no rights under this Agreement from us or our licensors to the RigReports Service, including any related intellectual property rights.

License Restrictions. Neither you nor any End User may use the Service in any manner or for any purpose other than as expressly permitted by this Agreement. Neither you nor any End User may, or may attempt to, (a) modify, alter, tamper with, repair, or otherwise create derivative works of any software included in the RigReports Service (except to the extent software included in the RigReports Service are provided to you under a separate license that expressly permits the creation of derivative works), (b) reverse engineer, disassemble, or decompile the RigReports Service or apply any other process or procedure to derive the source code of any software included in the RigReports Service, or (c) access or use the RigReports Service in a way intended to avoid incurring fees or exceeding usage limits or quotas. All licenses granted to you in this Agreement are conditional on your continued compliance with this Agreement, and will immediately and automatically terminate if you do not comply with any term or condition of this Agreement. During and after the Term, you will not assert, nor will you authorize, assist, or encourage any third party to assert, against us or any of our affiliates, customers, vendors, business partners, or licensors, any patent infringement or other intellectual property infringement claim regarding any RigReports Service you have used.

Access and Use of the Service and Content.

Your Account. Access via Authorized Account. You may only access the Service via the account that Mi4 has assigned to you (your “Account”). You may not allow others to use your Account.

Responsibility for Use of Account. You are responsible for the activity that occurs on the Service through your Account. Protect your Account by using a strong password and keeping it secret.

Your Content. You are solely responsible for the development, accuracy, maintenance, and use of Your Content.

Choice of Law. The laws of the State of Texas and the laws of The United States of America applicable therein shall govern as to the interpretation, validity and effect of this document, and all claims arising from or in connection with this document, notwithstanding any conflict of laws provisions of your domicile, residence or physical location. You hereby consent and submit to the exclusive jurisdiction of the courts of the State of Texas in any action or proceeding instituted under or related to your use of the Service.

Personal Information. No personal information is collected in the service.

Data Privacy and Security. We shall provide our Service according to the best standards applicable in this business and we shall make all reasonable efforts to keep your data private and secure, including, without limitation, keeping your database in a physically separate disk file, using the most secure encryption where applicable, non-storage of clear text passwords, etc.

Data Access. Data collected through the Service may be accessed by Mi4 employees where necessary to operate the Service or to comply with policy or legal requirements. Mi4 does not permit any data collected through the Service to be accessed, used or shared by companies, institutions, organizations and individuals outside of Mi4.

In certain scenarios where Mi4 may enter into agreements with other parties for the provision of services that are necessary for the operation, maintenance, updating, configuration, testing and enhancement of the Service. Mi4 will seek your consent before Data may be shared with these other parties if necessary for the operation, maintenance, updating, configuration, or testing of such software. These other parties will not use your data for any other purpose, and will keep this information confidential.
